1. Introduction

Welcome to Nicole Sellars Studios (“we,” “us,” “our”). These Terms & Conditions (“Terms”) govern your purchase and use of our creative, digital, and virtual services—including, but not limited to, virtual video podcast production, AI branding photoshoots, host-for-hire services, and PR/media pitching packages (“Services”).

By purchasing or using any of our Services, you (“Client,” “you,” or “your”) agree to be legally bound by these Terms.
If you have a separate written contract or proposal for your project, that document controls in the event of a conflict; all other provisions of these Terms remain applicable.

 

2. Services & Deliverables

2.1 Scope of Work

We provide done-for-you digital content creation and media visibility services, including:

• Virtual Video Podcast Production – remote or studio-based show creation and editing.
• AI Branding Photoshoots – AI-generated brand imagery using reference photos and styling input.
• Host-for-Hire – professional on-camera hosting or interviewing.
• PR & Media Pitching – earned-media outreach and strategy sessions.

Deliverables, revisions, and timelines are specified in your selected package.

2.2 Client Responsibilities

Client agrees to:

• Provide accurate materials, images, and brand assets on time.
• Attend scheduled sessions and provide feedback within designated timeframes.
• Understand that delays in responses may extend delivery timelines.

2.3 Revisions

Packages include up to two (2) revision rounds unless otherwise specified. Additional revisions may be billed at the current hourly or per-asset rate.

 

3. Third-Party Tools, AI Systems & Dependencies

3.1 Use of Third-Party Platforms

To deliver Services, we may use third-party platforms and AI technologies for editing, image processing, hosting, and storage (“Third-Party Tools”). Examples include video-editing software, cloud services, and AI image generation systems.

3.2 AI Image Generation

Our AI Branding Photoshoot uses artificial intelligence (“AI”) and machine-learning systems that generate likeness-based imagery from your photos and creative direction. We use secure or “stealth” generation modes when available, but these systems are operated by independent providers whose data practices we do not control.

By engaging our Services, you authorize us to upload, process, and reference your likeness, name, and image solely to produce your deliverables.

3.3 Data Security & Limitations of Control

While we select reputable vendors, we cannot guarantee absolute confidentiality or deletion once likeness data is submitted to a third-party system. You acknowledge a small inherent risk of data exposure or retention beyond our control.

3.4 Indemnification & Release

You agree to indemnify, defend, and hold harmless Nicole Sellars Studios, its owners, contractors, and affiliates from any claims, losses, or liabilities arising from use, misuse, or disclosure of likeness or data by third-party AI platforms or other providers.

3.5 Informed Consent

By purchasing or using AI-based Services, you confirm you understand and accept these risks and consent to the use of your likeness for AI image generation.

 

4. Payments, Pricing & Refunds

4.1 Pricing & Payment Terms

All prices are in U.S. dollars. Full payment is required before Services begin unless a written payment plan is approved. Subscription plans (e.g., monthly packages) renew automatically until canceled per Section 4.3.

4.2 Late or Missed Payments

Late payments may cause service suspension. Unpaid balances after 7 days may result in termination and forfeiture of deliverables.

4.3 Cancellations & Refunds

All sales are final once work begins.
Recurring services may be canceled with written notice at least 10 days prior to the next billing date.
Unused deliverables do not roll over to future months unless agreed in writing.

 

5. Intellectual Property

5.1 Ownership

Upon full payment, Client receives a non-exclusive, non-transferable license to use final deliverables (videos, photos, documents) for personal or business promotion.
Nicole Sellars Studios retains ownership of all raw files, AI prompts, templates, and proprietary processes.

5.2 Restrictions

Deliverables may not be resold, sublicensed, or redistributed. AI-generated imagery may not be used in ways that misrepresent identity or harm the reputation of Nicole Sellars Studios.

5.3 Attribution

When feasible, credit such as “Created by Nicole Sellars Studios” is appreciated when work is publicly displayed.

 

6. PR, Media Pitching, and Earned-Media Disclaimer

6.1 Nature of Services

Some packages include PR strategy, story development, and media pitching. These are earned-media services, not advertising. We provide consulting, copywriting, and outreach consistent with professional standards, but outcomes depend on third-party editorial decisions.

6.2 No Guarantee of Media Placement or Coverage

You acknowledge that we cannot guarantee placement, response, or coverage by any media outlet, journalist, or producer. All coverage is subject to third-party discretion. We make commercially reasonable efforts but do not warrant specific results.

6.3 Distinction Between Earned and Paid Media

These Services do not include paid advertising, sponsored appearances, or advertorials. Any paid opportunities must be contracted separately if desired.

6.4 Client Responsibilities

Client must provide truthful information and materials for media use. Client is responsible for sending approvals promptly and cooperating in good faith.

6.5 Indemnification

Client agrees to indemnify and hold harmless Nicole Sellars Studios, its officers, employees, and affiliates from claims arising from inaccurate information supplied by Client or actions of third-party outlets.

6.6 No Warranties

We make no express or implied warranties about results, timelines, or response rates from outreach efforts. All PR services are provided on a best-effort basis.

 

7. Warranty & Liability

7.1 No Guarantee of Outcomes

We cannot guarantee business growth, sales, or engagement. Results vary based on market conditions and client implementation.

7.2 Limitation of Liability

Our total liability for any claim shall not exceed the amount paid for the affected service. We are not liable for indirect or consequential damages.

7.3 Force Majeure

We are not responsible for delays caused by factors outside our control (e.g., platform outages, acts of nature, vendor downtime).

 

8. Termination

Either party may terminate prior to production commencement.
If you cancel, you owe payment for work completed to date.
We may terminate for non-payment, unprofessional conduct, or breach of Terms.

 

9. Confidentiality & Privacy

We treat client materials confidentially and use them only to deliver contracted Services.
However, full confidentiality cannot be guaranteed when third-party digital tools or AI systems are used.
We will not publicly share client likenesses or materials without written consent.

 

10. Governing Law & Dispute Resolutio

These Terms are governed by the laws of the State of Georgia, without regard to conflicts of law.
Any disputes shall first be resolved through good-faith negotiation. Unresolved matters may proceed to binding arbitration in Fulton County, Georgia, unless otherwise agreed.

 

11. Amendments

We may update these Terms at any time. The revised version takes effect upon posting with a new “Last Updated” date. Continued use of Services constitutes acceptance.

 

12. Acknowledgment

By purchasing or using any Nicole Sellars Studios service, you confirm that you have read, understood, and agreed to these Terms & Conditions in full.
