1. Introduction

Welcome to Nicole Sellars Studios (“we,” “us,” “our”). These Terms & Conditions (“Terms”) govern your purchase and use of our creative, digital, and virtual services—including, but not limited to, virtual video podcast production, AI branding photoshoots, host-for-hire services, and related bundles or packages (“Services”).

By purchasing or using any of our Services, you (“Client,” “you,” or “your”) agree to be legally bound by these Terms.

If you have a separate written contract or proposal for your project, those terms control in case of a conflict, but all other sections of this policy still apply.

 

2. Services & Deliverables

2.1 Scope of Work

We provide done-for-you digital content creation services, including:

• Virtual Video Podcast Production: Remote or studio-based interview and show production.
• AI Branding Photoshoots: AI-generated brand imagery based on client likeness and styling direction.
• Host-for-Hire: Professional on-camera hosting or interview services for your brand or business.

Each package or tier specifies its own deliverables, timeline, and included revisions.

2.2 Client Responsibilities

• Provide accurate materials, reference photos, brand guidelines, and feedback in a timely manner.
• Be available for scheduled recording or review sessions.
• Delays in feedback or scheduling may extend turnaround time.

2.3 Revisions

Packages include up to two (2) rounds of revisions unless otherwise stated. Additional revisions are billed at the current hourly rate or per-image edit fee.

 

3. Third-Party Tools, AI Systems & Dependencies

3.1 Use of Third-Party Platforms

To efficiently provide Services, we may use third-party platforms, applications, and AI technologies for editing, image processing, and content storage (“Third-Party Tools”). These include, but are not limited to, video editing software, cloud hosting platforms, and AI-based image generation tools.

3.2 AI Image Generation

• Our AI Branding Photoshoot service uses artificial intelligence (AI) or machine-learning platforms that generate images based on your likeness, reference photos, and creative prompts.
• We make every effort to use secure, private, or “stealth” modes of generation when available. However, you acknowledge that these tools are owned and operated by external providers, and we do not control their data storage or internal security policies.
• By engaging our Services, you authorize us to upload, process, and reference your name, image, and likeness solely for the creation of your deliverables.

3.3 Data Security & Limitations of Control

• While we select reputable vendors that claim to protect user data, we cannot guarantee absolute confidentiality, security, or deletion of data once uploaded.
• You understand that there is a small inherent risk that your name, image, or likeness could be stored, accessed, or exposed by a third party beyond our control.

3.4 Client Indemnification & Release

You agree to indemnify, defend, and hold harmless Nicole Sellars Studios, its owners, contractors, employees, and affiliates from and against any claims, damages, losses, or liabilities arising out of or related to the use, misuse, access, or disclosure of your name, image, or likeness by third-party AI platforms or other digital service providers.

3.5 Informed Consent

By purchasing or using our AI Branding Photoshoot or any service involving AI tools, you acknowledge that:

• You have read and understood this clause.
• You consent to the use of your likeness for AI image generation.
• You accept the potential risks of working with third-party AI technology.

 

4. Payments, Pricing & Refunds

4.1 Pricing & Payment Terms

• All prices are in USD.
• Full payment is required before production begins unless a written payment plan is approved.
• Recurring plans (e.g., monthly subscriptions) renew automatically until canceled per Section 4.3.

4.2 Late or Missed Payments

• Late payments may result in paused work.
• If payment is not received within 7 days of the due date, Nicole Sellars Studios reserves the right to suspend or terminate services and retain any work completed.

4.3 Cancellations & Refunds

• All sales are final once work begins or assets are delivered.
• Recurring services may be canceled with written notice at least 10 days prior to the next billing cycle.
• Unused deliverables (e.g., podcast credits or images) do not roll over to the next month unless agreed in writing.

 

5. Intellectual Property

5.1 Ownership

Upon full payment, you receive a non-exclusive, non-transferable license to use the final deliverables (podcasts, images, videos) for personal or business marketing purposes.
Nicole Sellars Studios retains ownership of all raw materials, templates, and proprietary methods used in the creation process.

5.2 Restrictions

• Deliverables may not be resold, redistributed, or repurposed for third parties.
• You may not alter AI-generated imagery in ways that misrepresent or harm our brand reputation.

5.3 Attribution

We may request credit such as “Created by Nicole Sellars Studios” when deliverables are publicly displayed.

 

6. Warranty & Liability

6.1 No Guarantees

While we deliver professional services, we cannot guarantee specific outcomes (e.g., increased revenue, engagement, or media bookings).

6.2 Limitation of Liability

Our total liability for any claim shall not exceed the total amount paid for the applicable service. We are not liable for indirect, incidental, or consequential damages.

6.3 Force Majeure

We are not liable for delays or nonperformance caused by events beyond our reasonable control (e.g., internet outages, platform downtime, or AI service disruptions).

 

7. Termination

Either party may terminate before production begins.

If you terminate early, you are responsible for all work performed to date.

We may terminate immediately for non-payment, unprofessional conduct, or breach of these Terms.

 

8. Confidentiality & Privacy

We respect your privacy and handle all client information confidentially.
However, given the involvement of third-party digital tools, absolute confidentiality cannot be guaranteed (see Section 3).

We do not share client materials or likenesses publicly without written consent, except where necessary to complete your project or promote our portfolio (with permission).

 

9. Governing Law

These Terms are governed by the laws of the State of Georgia, without regard to its conflict of law principles.
Any disputes will be resolved through binding arbitration or mediation in Fulton County, Georgia, unless otherwise agreed.

 

10. Amendments

We may update these Terms at any time. The revised version will be posted with a new “Last Updated” date. Continued use of our services constitutes acceptance of the updated Terms.

 

11. Acknowledgment

By purchasing, booking, or using any Nicole Sellars Studios service, you confirm that you have read, understood, and agree to these Terms & Conditions in full.
